Corporate Paralegal – Business & Banking Practice Group
JOB SUMMARY:
Provides support to attorneys with the focus on business legal matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Prepare and review legal documents including contracts, confidentiality agreements, stock certificates, stock ledgers, shareholder agreements, articles, lease agreements, assignments and bill of sale, and purchase/sale agreements
- Monitor and ensure compliance with state, local and federal regulations
- Prepare and file documentation including state tax and IRS forms
- Prepare UCC searches and filings
- Research and prepare documentation for the formation and maintenance of corporate, partnership, LLC, PLLC, Family Limited Partnerships, and not-for-profit
- Prepare franchise tax searches
- Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals
- Draft shareholder consents and proxies
- Draft corporate resolutions and related documents
- Draft annual minutes of Directors and Shareholders
- Maintain and organize minute books
- Order necessary certificates from the Department of State
- Prepare bankruptcy searches
- Obtain employer identification numbers from the IRS
- Maintain and manage databases

EDUCATION and/or EXPERIENCE:
- High School degree required; AAS degree preferred
CERTIFICATES, LICENCES, REGISTRATIONS:
- Paralegal certification preferred
- Notary Public license preferred
