Corporate Paralegal - Business & Banking Practice Group

JOB SUMMARY:

Provides support to attorneys with the focus on business legal matters.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Prepare and review legal documents including contracts, confidentiality agreements, stock certificates, stock ledgers, shareholder agreements, articles, lease agreements, assignments and bill of sale, and purchase/sale agreements
  • Monitor and ensure compliance with state, local and federal regulations
  • Prepare and file documentation including state tax and IRS forms
  • Prepare UCC searches and filings
  • Research and prepare documentation for the formation and maintenance of corporate, partnership, LLC, PLLC, Family Limited Partnerships, and not-for-profit
  • Prepare franchise tax searches
  • Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals
  • Draft shareholder consents and proxies
  • Draft corporate resolutions and related documents
  • Draft annual minutes of Directors and Shareholders
  • Maintain and organize minute books
  • Order necessary certificates from the Department of State
  • Prepare bankruptcy searches
  • Obtain employer identification numbers from the IRS
  • Maintain and manage databases

EDUCATION and/or EXPERIENCE:

  • High School degree required; AAS degree preferred

CERTIFICATES, LICENCES, REGISTRATIONS:

  • Paralegal certification preferred
  • Notary Public license preferred
